Gridavia Professional Agreement
1. Introduction
This Gridavia Professional Agreement (“Agreement”) sets out the terms under which professionals, vendors, operators, guides, drivers, skippers, agencies, service providers, affiliates, and other partners may apply for and use a professional account on Gridavia.
By submitting a professional application, creating a professional profile, listing services, accepting bookings, accepting operational assignments, or otherwise participating as a professional user on Gridavia, you agree to be bound by this Agreement.
2. Professional Account
A professional account allows approved users to create, manage, promote, distribute, fulfill, or participate in travel-related services through Gridavia.
Gridavia reserves the right to review, approve, reject, suspend, restrict, or remove professional accounts at its sole discretion.
Approval of a professional account does not constitute employment, partnership, agency, franchise, joint venture, or exclusive business relationship unless expressly agreed in writing.
3. Accuracy of Information
Professionals are responsible for providing accurate, complete, and up-to-date information, including but not limited to:
- Business or brand name
- Contact details
- Service descriptions
- Prices
- Availability
- Locations
- Operational capabilities
- Licenses
- Certifications
- Insurance documentation where required
Professionals agree to promptly update information whenever changes occur.
4. Service Responsibility
Professionals are solely responsible for delivering services safely, legally, professionally, and as described.
Professionals must comply with all applicable:
- Laws
- Regulations
- Permits
- Licenses
- Certifications
- Insurance requirements
- Tax obligations
- Health and safety obligations
required for the services they offer or perform.
5. Gridavia’s Role
Gridavia acts as a technology platform, marketplace, booking platform, operational coordination system, and service distribution network.
Unless otherwise agreed in writing, Gridavia is not the direct provider of services listed, promoted, booked, or fulfilled by independent professionals.
Professionals remain solely responsible for the execution, legality, safety, and quality of the services they provide.
6. Bookings and Operational Assignments
Professionals may receive:
- Bookings
- Booking requests
- Operational assignments
- Traveler inquiries
- Service requests
through Gridavia.
Professionals agree to respond accurately, promptly, and professionally and to fulfill accepted services according to the details agreed with travelers and Gridavia.
7. Pricing, Payments, Commissions, and Payouts
Gridavia may establish:
- Pricing rules
- Booking fees
- Commission structures
- Markup rules
- Payout procedures
- Operational fees
- Payment policies
Professionals acknowledge that commissions, fees, deductions, booking charges, or operational costs may apply to services sold, distributed, or fulfilled through the Platform.
Specific payment and payout procedures may be communicated separately or displayed within professional dashboards.
8. Cancellations and Service Issues
Professionals must notify Gridavia immediately if they cannot fulfill a confirmed service.
Repeated cancellations, poor service quality, inaccurate listings, unsafe conduct, traveler complaints, or operational failures may result in:
- Warnings
- Service restrictions
- Temporary suspension
- Permanent account removal
9. Communication
Professionals agree to communicate respectfully, accurately, and professionally with:
- Travelers
- Gridavia administrators
- Other professionals
- Service partners
Gridavia may monitor, review, or retain communications conducted through Platform systems when necessary for:
- Support
- Safety
- Fraud prevention
- Dispute resolution
- Operational management
- Legal compliance
10. Content and Media
Professionals may upload:
- Images
- Videos
- Documents
- Service descriptions
- Marketing content
- Operational information
By submitting content to Gridavia, professionals confirm that they possess the legal right to use and share such content and grant Gridavia a non-exclusive right to display, distribute, promote, and use such content for marketplace, operational, and marketing purposes.
11. Reviews and Quality Control
Travelers may submit reviews and ratings.
Gridavia may evaluate professionals based on:
- Reviews
- Complaints
- Reliability
- Responsiveness
- Operational performance
- Service quality
- Compliance history
Gridavia reserves the right to use such information for marketplace governance and quality assurance purposes.
12. Suspension or Termination
Gridavia may suspend, restrict, or terminate a professional account if a professional:
- Provides false information
- Violates this Agreement
- Violates applicable laws
- Fails to deliver services as agreed
- Creates safety concerns
- Damages the reputation of Gridavia
- Misuses the Platform
- Engages in fraudulent conduct
13. Legal Compliance
Professionals are solely responsible for ensuring they are legally permitted to provide the services they offer.
This includes maintaining all required:
- Licenses
- Certifications
- Registrations
- Insurance policies
- Tax registrations
- Legal authorizations
required by applicable law.
14. Limitation of Liability
To the fullest extent permitted by law, Gridavia shall not be liable for losses, damages, claims, penalties, liabilities, injuries, disputes, or costs arising from:
- Professional conduct
- Service fulfillment
- Operational failures
- Licensing issues
- Insurance issues
- Regulatory violations
- Traveler-professional disputes
Professionals agree that they remain responsible for their own services and business operations.
15. Agreement Evidence
By submitting a professional application or continuing as a professional on Gridavia, you agree that Gridavia may record and retain evidence of your acceptance of this Agreement and any related policies or contractual documents.
Such evidence may include, without limitation:
- User ID
- Professional Profile ID
- Account Type
- Accepted Document Type
- Accepted Document Version
- Date and Time of Acceptance
- IP Address
- Device and Browser Information (User Agent)
- Submission Records
- Related Booking or Operational References where applicable
These records may be retained for operational, legal, regulatory, evidentiary, dispute resolution, compliance, and security purposes.
16. Updates to This Agreement
Gridavia may update this Agreement from time to time.
Updated versions will be published on the Platform together with the applicable document version and effective date.
Professionals may be required to review and accept updated versions before continuing to access or use professional features of the Platform.

18. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Hellenic Republic (Greece), without regard to conflict of law principles.
Any dispute, claim, legal proceeding, controversy, or matter arising out of or relating to:
- This Agreement
- The use of the Gridavia Platform
- Professional accounts
- Service listings
- Bookings
- Operational assignments
- Payments
- Commissions
- Payouts
- Communications
- Any business relationship between Gridavia and a professional user
shall be subject to the exclusive jurisdiction of the competent courts of Greece.
Professionals expressly agree to submit to the jurisdiction of the Greek courts and waive any objection relating to jurisdiction, venue, forum, or applicable law to the fullest extent permitted by law.
19. Language and Understanding
The Professional acknowledges that this Agreement is provided in the English language and confirms that they are able to read, understand, and evaluate its contents.
By accepting this Agreement, the Professional confirms that they have carefully reviewed its terms, understand their rights and obligations, and voluntarily agree to be bound by them.
If the Professional does not fully understand any provision of this Agreement, they are responsible for seeking independent advice or clarification before accepting it.
The Professional further acknowledges that acceptance of this Agreement shall constitute conclusive evidence that they have had sufficient opportunity to review and understand its contents.
